George F. Eaton II has been recognized for several years as a leading corporate lawyer in Chambers USA and in America's Best Lawyers. He provides a broad range of corporate, business and commercial advice to clients in all of Maine's business and non-profit sectors including construction, energy distribution, defense, government contracting, hospitality, healthcare, forest resources, commercial real estate development, higher education, technology, energy, retail and finance. He is regularly involved in structuring and negotiating purchases and sales of businesses, joint venture transactions, commercial contracts, leasing transactions and complex financing transactions. He is a member of the Business Law Section of the American Bar Association and he is a past Chairperson of the Business Law Section of the Maine State Bar Association.
A significant portion of George's practice is devoted to the formation and structuring of start-up and growth enterprises, including the legal aspects of raising private capital and venture capital; government subsidized grants and financing; structuring and documenting the decision-making, control and financial arrangements among enterprise founders and investors; and structuring deferred compensation arrangements, profit-sharing arrangements and employee stock ownership plans (ESOPs).
Over the nearly thirty years that George has practiced business and corporate law he has developed a very close and trusted relationship with several multi-generation family-owned enterprises which benefit from his pragmatic approach to blending legal and business advice in the areas of shareholder relations, governance, asset protection, and business succession planning.
George's corporate and business practice also includes non-profit clients in the healthcare, higher education and charitable non-profit organization sectors, where he advises those clients in the areas of tax-exemption qualification and compliance; governance; and commercial transactions including contracts, mergers, asset acquisitions, joint ventures, leases and financing transactions.
As a Managing Director of the firm's affiliate Starboard Leadership Consulting, LLC, George provides consulting services to family-owned enterprises and non-profit organizations in the areas of strategic planning, transition planning, crisis management and governance. He is also recognized as an expert facilitator of board and family-owned business strategic planning projects. He has recently served as the principal consultant and facilitator of a complex governance integration project involving one of Maine's largest integrated healthcare systems and its constituent corporate entities and their respective governing boards. He is currently the chair of Rudman Winchell's strategic planning committee.
George is a member of the Board of Directors of Bangor Savings Bank and is a member of the Board of Trustees of its mutual holding company corporate parent. He chairs the Bangor Savings Bank governance and trust committees. He is a past chair of the Eastern Maine Medical Center Board of Trustees and is the past chair of Eastern Maine Medical Center's parent Eastern Maine Healthcare Systems. He is a charter member and past president of the Bangor Breakfast Rotary Club, and is a Rotary International Paul Harris Fellow.
A native of Bangor, George graduated from Bowdoin College in 1981, magna cum laude, where he was a James Bowdoin Scholar. He is a 1984 graduate of the University of Maine School of Law, cum laude, where he served as Editor-in-Chief of the Maine Law Review. Following law school, he served as Law Clerk to Justice David G. Roberts of the Maine Supreme Judicial Court.
